Welcome to RecruitReach! We are excited to help you navigate the athletic recruiting process. Our platform uses artificial intelligence to provide guidance and tools to help student-athletes and their families create and manage a promotional profile.

These Terms of Use ("Terms") govern your access to and use of the RecruitReach website, services, and platform (collectively, the "Service") made by NS Forge LLC. Please read these Terms carefully. By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By using our Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree with these Terms, you may not use the Service. We may amend these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our Service prior to the change becoming effective. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

2. User Eligibility and Account Responsibility

Age Requirement: To use RecruitReach, you must be at least 18 years old or the age of legal majority in your jurisdiction.

Minors: If you are a student-athlete who is at least 13 years old but under the age of 18 (a "Minor"), you may only use the Service with the express consent and active supervision of a parent or legal guardian. If you are a parent or legal guardian of a Minor, you are responsible for the Minor’s use of the Service and you agree to be bound by these Terms on their behalf. You are responsible for ensuring the Minor's compliance with these Terms. The account must be registered and managed by the parent or legal guardian.

Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3. Subscription, Fees, and Recurring Billing

Subscription: Access to certain features of the Service requires a paid subscription. By signing up for a subscription, you agree to pay the specified fees.

Automated Recurring Billing: Your subscription will automatically renew at the end of each subscription period unless you cancel it. By providing a payment method, you authorize RecruitReach or its third-party payment processors to charge your payment method on a recurring basis for the subscription fees, any applicable taxes, and any other charges you may incur.

Cancellation: You may cancel your subscription at any time through your account settings. The cancellation will take effect at the end of your current billing period. You will not receive a refund for the current billing period, but you will continue to have access to the Service until the end of that period. If a third party such as an athletic director, club, or other is paying for your account on your behalf, their failure to provide continued payment will result in the cancellation of your account.

Fee Changes: We reserve the right to change our subscription fees. We will provide you with reasonable prior notice of any price changes. If you do not agree to the price change, you must cancel your subscription before the change takes effect.

4. User Content and Public Profiles

Your Content: You retain ownership of the information, text, photos, and other content you upload to the Service ("User Content"). However, by submitting User Content, you grant RecruitReach a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content in connection with providing and promoting the Service.

Public Profiles: A primary function of the Service is to create a public profile for the student-athlete. You understand and agree that the User Content you provide for the profile, including personal and athletic information, will be publicly accessible and viewable by college coaches, recruiters, and the general public. You should not post any information that you do not want to be made public.

Responsibility for Content: You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that you have all necessary rights to grant us the license to your User Content and that your content does not violate any third-party rights or any applicable laws.

5. Permitted and Prohibited Use

The only permitted use of RecruitReach is for high school athletes and their families to use RecruitReach as a tool for help during the recruiting process to play college sports. This includes getting help anwering questions about the recruiting process, NCAA guidelines, schools, coaches, their public profile, and assistance in writing communications.

5a. Prohibited Activities:

  1. Automated Access/Scraping:

    • You agree not to use any automated system, including but not limited to 'robots,' 'spiders,' 'offline readers,' or 'bots,' to access the Website in a manner that sends more request messages to our servers in a given period than a human can reasonably produce in the same period by using a conventional on-line web browser.

    • The systematic retrieval of data or other content from the Service to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from NS Forge LLC is prohibited.

  2. Data Mining/Extraction/Harvesting:

    • You are prohibited from engaging in data mining, deep-linking, screen scraping, database scraping, or any other activity intended to collect, store, reorganize, or manipulate data from the Service.

  3. Competitive Intelligence/Benchmarking:

    • You agree not to use the Service or its content for any competitive intelligence gathering, benchmarking, or to create a competitive product or service.

    • Accessing the Service for the purpose of monitoring its availability, performance, or functionality, or for any other benchmarking or competitive purposes, is strictly prohibited.

  4. Content Reproduction/Re-publication/Theft:

    • You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Website, use of the Website, or access to the Website without express written permission from NS Forge LLC.

    • Unauthorized reproduction, redistribution, transmission, sale, or publication of any material from this Service is strictly prohibited.

    • You may not modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Service.

  5. Misrepresentation/Impersonation:

    • You may not impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity, such as creating a fake profile or creating a profile for an athlete without their consent.

6. Use of Artificial Intelligence (AI)

AI as a Tool: The Service utilizes large language models and other artificial intelligence technologies ("AI") to provide suggestions, answer questions, and assist with content creation. You acknowledge that the AI is a tool to assist you and is not a substitute for professional advice (e.g., legal, financial, or educational).

Disclaimer of AI Accuracy and Liability: The output generated by the AI is based on data and algorithms and may contain inaccuracies, errors, or omissions. RecruitReach makes no representations or warranties of any kind, express or implied, as to the accuracy, reliability, completeness, or suitability of the information generated by the AI.

No Reliance on AI Output: You agree that you will not rely on the AI-generated content as a sole source of information or as a basis for making significant decisions. You are solely responsible for evaluating the accuracy and appropriateness of any AI-generated content and for any decisions or actions you take based on it. RecruitReach expressly disclaims all liability for any loss or damage arising from your use of or reliance on the AI features of the Service.

7. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content), including our website, branding, and the underlying technology, are and will remain the exclusive property of RecruitReach and its licensors.

8. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, RECRUITREACH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICE AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT WILL RECRUITREACH, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to defend, indemnify, and hold harmless RecruitReach, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

10. Term and Termination

These Terms will remain in full force and effect while you use the Service. You may terminate your account at any time. We may suspend or terminate your account at any time without notice if we believe you have violated these Terms.

11. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms, in whole or in part, to any third party at our sole discretion, including in connection with a merger, acquisition, consolidation, or sale of all or substantially all of our assets, without your consent and without notice. These Terms will be binding upon and inure to the benefit of the parties and their respective successors and assigns.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Delaware, and the parties irrevocably consent to the personal jurisdiction and venue therein.

13. General Provisions

These Terms constitute the entire agreement between you and RecruitReach regarding the use of the Service. If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck and the remaining provisions will be enforced. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
